Optimal Bet Affiliate Program Terms & Conditions

Welcome to the Optimal Bet Affiliate Program ("Program"). These Terms & Conditions ("Terms") are a binding agreement between you ("Affiliate," "you") and Hergott Technologies, Inc. d/b/a Optimal Bet ("Optimal Bet," "we," "us," "our"). By joining and participating in the Program, you agree to these Terms.

1. Enrollment
• You must apply through our designated affiliate platform using accurate and complete information.
• We reserve the right to accept or reject any application at our sole discretion and may re-verify your information at any time.

2. Commissions & Payments
• You earn recurring commission on subscription revenue for referred users, subject to the rates, rules, and campaigns active at the time of the referral. Commission structures may vary by campaign and may be modified by Optimal Bet at any time.
• ⚠️ Only subscriptions purchased through your unique affiliate link on the Optimal Bet website are eligible for commission. Subscriptions made through app stores or other channels are not commissionable.
• Self-referrals, fraudulent sign-ups, coupon sites, or non-genuine traffic sources are strictly prohibited and may result in forfeiture of commissions.
• Commissions are calculated net of refunds, chargebacks, promotions, and discounts.
• Payouts are handled via our designated affiliate platform, in accordance with their schedule and thresholds.

3. Affiliate Responsibilities
• You agree to promote Optimal Bet truthfully, ethically, and in good faith.
• You may not:
  - Make unsubstantiated, misleading, or exaggerated claims about Optimal Bet or potential betting outcomes.
  - Run paid search or social ads that bid on "Optimal Bet," our domains, trademarks, or confusingly similar terms.
  - Use spam, bots, misleading redirects, cookie stuffing, or incentive schemes.
  - Post content that could harm Optimal Bet's reputation (illegal, offensive, defamatory, or misleading material).
• You must comply with all applicable laws, including FTC endorsement disclosure rules, and clearly state that you may earn commissions from referrals.
• You are solely responsible for any legal, tax, or regulatory obligations that arise from your activities as an Affiliate.

4. Intellectual Property
• We grant you a limited, revocable, non-exclusive license to use Optimal Bet's name, logo, and approved marketing materials for Program participation only.
• You may not alter, sublicense, or create derivative works of our brand assets.
• All goodwill generated through your participation accrues to Optimal Bet.

5. Term & Termination
• Either party may terminate this agreement at any time, with or without cause, by written notice.
• Upon termination, you must immediately cease using our brand assets and promotional materials.
• Eligible commissions earned prior to termination will be paid out per the affiliate platform's schedule. However, we reserve the right to withhold commissions if we determine referrals violated these Terms.

6. Audit Rights
• We reserve the right to monitor, review, and audit your promotional activities at any time to ensure compliance with these Terms.
• Failure to cooperate with a compliance review may result in suspension or termination of your account and forfeiture of unpaid commissions.

7. Limitation of Liability
• We make no representations or guarantees regarding your ability to earn income.
• Our liability to you is limited to the total commission fees properly earned and payable under this Program.
• You agree to indemnify and hold harmless Optimal Bet against any claims, damages, or expenses arising from your participation.

8. Modification
• We may update or modify these Terms, commission rates, and Program rules at any time. Updates are effective upon posting to our website or affiliate platform. Continued participation constitutes acceptance.

9. Governing Law
• These Terms are governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles.

By applying to and participating in the Optimal Bet Affiliate Program, you acknowledge that you have read, understood, and agreed to these Terms.
